MetaTune Terms of Use

These MetaTune Terms of Use (the "Terms") are a supplement to, and form part of, the standard Apple Licensed Application End User License Agreement (the "Standard EULA") that applies to every app you download from the Mac App Store. By downloading, installing, or using MetaTune (the "App"), you agree to both the Standard EULA and these Terms. Where these Terms add to or clarify the Standard EULA, these Terms apply to your use of MetaTune. Where these Terms conflict with the Standard EULA on a matter Apple controls (such as payment, billing, and refunds), the Standard EULA and Apple's policies govern.

1. About MetaTune

MetaTune is a native macOS music tag editor (macOS 13 or later) distributed through the Mac App Store. It runs in the macOS App Sandbox with the Hardened Runtime enabled. MetaTune lets you load your music library, view and edit tags, repair garbled text, find duplicate recordings, and look up metadata, with all editing and processing performed locally on your Mac.

There is no account and no sign-in. MetaTune contains no analytics, no tracking, no advertising, and no third-party data-collection software. We do not collect, store, sell, or share your personal data. See the MetaTune Privacy Policy for full details.


2. License Grant

Subject to your compliance with the Standard EULA and these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use MetaTune for your own personal use, or for internal use within your organization, on Apple-branded devices you own or control, as permitted by the Standard EULA and the Usage Rules of the App Store. This license is for use of the App only; it does not transfer ownership of the App to you.


3. Free to Edit, One-Time Unlock to Save

MetaTune is free to use. At no cost you can load your library, view your files, and edit every tag in the editor.

A single one-time, non-consumable in-app purchase called "MetaTune Unlock" (¥1,000 / US$6.99) enables saving: that is, writing your edited tags back to your files ("Apply") and renaming files. There is no subscription and no recurring charge. Until you purchase the Unlock, you can edit freely but cannot save changes to your files or rename them.

Payment, billing, and refunds are handled entirely by Apple through the App Store, in accordance with Apple's terms and policies. We do not process or see your payment information. If you have a billing or refund question, please contact Apple. You can restore your purchase on any device signed in with the same Apple ID using "Restore Purchase" in the App.


4. How MetaTune Handles Your Files and Data

Local processing. Your audio files and all of your edits are processed locally on your Mac. Nothing is uploaded to us, and nothing is written to your files until you choose Apply (or rename).

Optional, functional network lookups only. MetaTune connects to the internet only when you trigger a metadata lookup, and only to the third-party services listed below, over HTTPS. These requests carry only the search terms or audio fingerprints needed to return a result. Because there is no account, MetaTune attaches no user identifier to these requests. Each service is operated independently and has its own terms and privacy policy:

You are responsible for reviewing and complying with the terms and privacy policies of these third-party services. We are not responsible for their availability, accuracy, or content.

Bring-your-own AcoustID key. Use of AcoustID features requires your own API key, which you can obtain free of charge for personal, non-commercial use from acoustid.org. Your key is stored only in the macOS Keychain on your device. It is never bundled in the App, never synced to iCloud by MetaTune, and never sent anywhere except to AcoustID as the key accompanying your own requests. You are responsible for obtaining your key and for any use of it under AcoustID's terms.

Apple Music library editing (optional). MetaTune can read and write tags in the Apple Music app through macOS automation (Apple Events), identifying tracks by their persistent ID. Catalog, subscription, and cloud tracks are deliberately left read-only and cannot be edited. This activity stays on your Mac. If you have iCloud Music Library enabled, your changes may sync through Apple's own service; that synchronization is performed by Apple, not by MetaTune.


5. Editing Files Is Irreversible — Please Back Up

Writing tags and renaming files modify your own files and are irreversible once Applied or renamed. While you can use full Undo / Redo within a pending editing session before you Apply, once you Apply changes or rename files the modifications are written to disk and cannot be undone by MetaTune.

To help protect your files, MetaTune offers atomic writes and an optional .bak backup. Even so, you are responsible for maintaining your own backups of your music files. We strongly recommend keeping a current backup before applying changes. To the extent permitted by law, we are not liable for any data loss, corruption, or other damage to your files arising from your use of the App.


6. Acceptable Use

You agree to use MetaTune only with content you own or are otherwise authorized to edit, and in compliance with all applicable laws and the terms of the third-party services described above. You agree not to use the App to infringe the rights of others.


7. Open-Source Components

MetaTune includes open-source software, which is governed by its own license rather than these Terms:

These components are dynamically linked, and you retain the rights granted by the LGPL, including the right to relink the App with a modified version of these libraries. Online metadata and attribution are provided by MusicBrainz, Apple iTunes, AcoustID, and Cover Art Archive. Full attributions and license texts are available within the App and on our website.


8. Restrictions; Reverse Engineering

Except to the extent expressly permitted by applicable law, by the Standard EULA, or by the LGPL with respect to the open-source components described in Section 7, you may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the App. You may not copy, modify, distribute, sell, lease, or sublicense the App except as expressly permitted by these Terms or by the licenses governing the open-source components.


9. Intellectual Property

MetaTune, including its name, software (other than the open-source components governed by their own licenses), design, and content, is owned by espirito LLC and is protected by intellectual property laws. Except for the limited license granted in these Terms and the rights granted under the open-source licenses, no rights are transferred to you. All third-party trademarks (including Apple, Apple Music, MusicBrainz, AcoustID, and Cover Art Archive) belong to their respective owners.


10. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MetaTune IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that metadata returned by third-party services will be accurate or complete. You use the App, including its tag-writing and file-renaming features, at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event will espirito LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, loss of files, loss of profits, or business interruption, arising out of or relating to your use of, or inability to use, the App — including, in particular, any damage to or loss of your music files resulting from writing tags or renaming files, whether or not we have been advised of the possibility of such damages.

To the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the App and these Terms will not exceed the amount you actually paid for the App (the MetaTune Unlock), if any. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.


12. Third-Party Services and Apple

Your use of third-party services (MusicBrainz, Apple iTunes Search API, AcoustID, and Cover Art Archive) is subject to those parties' own terms and privacy policies. We are not responsible for third-party services. As provided in the Standard EULA, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them, and Apple is not responsible for the App or for addressing any claims relating to it.


13. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes to the App or to legal requirements. When we make material changes, we will update the effective date above and post the revised Terms at https://espirito.jp/product/metatune/terms/. Your continued use of the App after the changes take effect constitutes your acceptance of the revised Terms.


14. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles. You and espirito LLC agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or the App. This does not affect any mandatory consumer-protection rights you may have under the law of your place of residence, or Apple's role in handling payments and refunds.
